nm .. figured it out...
ATV requires the subtitles to be embedded in the mp4, there are a number of free tools out there that can do that, they all tend to be for converting mkv to mp4 without encoding but work on mp4 as well.

Does anyone know what is needed to get subtitles to work with iHS/AppleTV.
I have TV Shows which have a .srt in the same folder as the .mp4 but it seems to get ignored, as when playing ATV says subtitles are unavailable.

Is it possible/practical with iHS to store movies in the cloud.
